最近,随着honey、mobile等sol链上的项目在二级市场的不俗表现,越来越多的投资者将目光转向DePIN赛道的项目。那么DePIN这个号称万亿美金规模的赛道其商业逻辑究竟是什么样的呢?DePIN项目可能涉及的法律风险有哪些呢?笔者将通过本文为大家解析。

DePIN的商业模式

DePIN是去中心化物理基础设施网络(Decentralized Physical Infrastructure Networks)的简称,其核心在于通过奖励发行的项目代币去激励用户购买使用项目生态部署的硬件设备,从而提供真实世界的商品与服务或数字资源,其中所说的物理基础设施主要包括物理资源网络(Physical Resource Networks, PRN)和数字资源网络(Digital Resource Networks, DRN)两大类。

物理资源网络主要是指参与项目生态的用户通过购买的硬件设备提供地图、道路数据、汽车、能源数据信息、wifi等现实世界的独特商品和服务,例如基于去中心化地图数据项目honey以及去中心化的车联网数据项目dimo。

数字资源网络主要是指参与项目生态的用户通过硬件设备去提供闲置的宽带网络、GPU算力、存储空间等数字资源的物理基础设施网络,例如去中心化GPU算力项目RNDR、去中心化存储项目AR、Filcoin以及去中心化的无线网络协议Helium。

可以看出DePIN主要是通过区块链和代币经济的模式去改善、创新、重塑传统ICT行业。众所周知,传统的ICT行业前期需要投入大量的人力、厂房以及设备维护成本,通过DePIN这种去中心化的模式,使用代币激励完成项目的冷启动,将重资产行业轻量化,大幅度降低项目前期的投入成本。

除此之外,一些去中心化的存储、算力项目将分散的闲置数字资源聚合,再提供给相关的业务方,这样用户通过提供闲置数字资源获得了项目的代币激励,项目也可通过这种形式以较低的成本获取数字资源出售给需求方。这其实是一种类似P2P、滴滴的共享经济模式,最大程度利用闲置数字资源创造额外的市场价值。

DePIN项目可能涉及的法律风险

1、DePIN通过代币激励用户的模式是否为国内监管禁止的虚拟货币“挖矿”活动?

从上述分析可以看出,DePIN相对于传统行业的优势在于大幅度降低前期的投入成本,但其降低成本的方式是通过代币激励从而购买项目硬件设备参与生态的用户。用户在购买硬件设备安装后,提供项目所需的数据信息或存储等数字资源后就可以持续获得代币奖励。这种方式是否属于国内监管禁止的“挖矿”活动呢?

2021年9月国家发改委等部门发布《关于整治虚拟货币“挖矿”活动的通知》(以下简称:"1283号文")中对于“挖矿”活动的定义:虚拟货币“挖矿”活动指通过专用“矿机”计算生产虚拟货币的过程,能源消耗和碳排放量大,对国民经济贡献度低,对产业发展、科技进步等带动作用有限,加之虚拟货币生产、交易环节衍生的风险越发突出,其盲目无序发展对推动经济社会高质量发展和节能减排带来不利影响。

从1283号文中可以看出,监管部门整治国内“挖矿”活动的原因在于“挖矿”活动中耗电量和碳排放量大,对国民经济贡献度低,其次涉及虚拟货币的生产及交易环节经常会衍生出一些违法犯罪活动。

对于代币产生的过程,传统的pow“挖矿”是矿场中的矿机通过大量的算力执行哈希运算打包处理链上交易从而获得出块的比特币奖励。而大量的DePIN项目中可能使用的是行车记录仪、硬盘的存储空间、路由器等硬件设备或数字资源去获得项目代币奖励。

从环保和资源再利用的角度来看,DePIN项目似乎不会耗费大量的能源,没有大量的碳排放。但项目核心点在于激励代币的市值管理,只有激励的代币维持在一个较好的价格区间,保证参与用户的收益,才能持续扩大项目生态。这其中势必要包含虚拟货币的交易环节,可能会出现1283号文所提到的衍生风险。所以对于DePIN项目在国内还是存在较高的监管风险,不管是创业者还是投资者都需要谨慎对待。

2.对于DePIN市场推广模式可能涉及到的刑事风险防范

DePIN赛道的项目由于其复杂的模式,会涉及到硬件设备提供商、渠道代理商等上下游角色。在市场推广硬件设备销售的过程中渠道代理商可能会采用联合地推团队进行邀请返佣、裂变机制的增长方式快速打开市场,其中在推广的过程中如果采用邀请返佣的方式,返佣链条达到三级及以上,在吸引用户加入时要求购买各种名头的数字资源或匹配不了其自身价值的硬件设备,并且采取编造扭曲国家政策、虚构夸大参与DePIN项目的年化收益等手段,从而使渠道代理商或其下线渠道获取裂变用户的部分投资收益,那么这种模式就有涉及到组织、领导传销罪的刑事风险。

随着DePIN项目的发展火热,一定会存在一些打着DePIN概念噱头的项目,美其名曰发展共享经济、数字经济,利用各种线上线下宣讲高收益的形式吸引投资者投资加入,建立资金池,那么就可能具备非法性、公开性、社会性、利诱性从而构成非法吸收公众存款罪,如果项目方主观上有非法占有的目的,那么就可能进一步构成集资诈骗罪。

3.谨慎对待DePIN项目中数据出境合规问题

除此之外,可以看到目前市面上很多项目都围绕地图、车辆等数据信息作为项目核心资源提供给海外的需求方,目前国内监管部门对于数据出境的合规问题十分重视。滴滴因为涉及到严重影响国家安全的数据处理问题遭到监管部门的严厉处罚,一些信息科技公司也因为违规收集境内敏感数据并提供给境外公司,被认定为非法向境外提供情报数据,公司法人、销售负责人被以涉嫌为境外窃取、刺探、收买、非法提供国家秘密、情报罪逮捕。所以DePIN项目的创业者、投资人以及参与的用户一定需要重视数据问题,谨慎对待,切勿以身试法。

总结与展望

虽然DePIN在迅速发展的过程中可能会存在监管、技术、市场等风险对项目产生的不利影响,但我相信只要创业者谨慎对待,与监管部门保持沟通,出现问题及时改进优化,在不久的未来,随着区块链技术和物联网的发展及应用落地,DePIN项目一定会扩展到能源管理、交通和物流系统等更多的基础设施领域。

The business model that the author will analyze for you through this article is the abbreviation of decentralized physical infrastructure network, and its core lies in encouraging users to buy and use the hardware equipment deployed by the project through rewarding and issuing project tokens. And the provision of real-world goods and services or digital resources, in which the physical infrastructure mainly includes physical resource networks and digital resource networks, mainly refers to the users who participate in the project ecology to provide unique real-world goods and services such as maps, roads, data, automobile energy data and information through purchased hardware equipment, such as decentralized map data projects and decentralized car networking data projects. Digital resource networks mainly refer to those who participate in the project ecology. Users provide the physical infrastructure network of digital resources such as idle broadband network computing storage space through hardware equipment, such as decentralized computing projects, decentralized storage projects and decentralized wireless network protocols. It can be seen that it is mainly through blockchain and token economy mode to improve innovation and reshape traditional industries. It is well known that traditional industries need to invest a lot of manpower workshops and equipment maintenance costs in the early stage. Through this decentralized mode, tokens are used to encourage the completion of projects. In addition, some decentralized storage computing projects aggregate scattered idle digital resources and provide them to relevant business parties, so that users can obtain tokens for the project by providing idle digital resources, and the project can also obtain digital resources at a lower cost and sell them to the demanders through this form. Although there may be adverse effects on the project caused by risks such as regulatory technology market in the process of rapid development, I believe that as long as entrepreneurs are cautious and keep in communication with the regulatory authorities, problems will be improved and optimized in time.
