The recent trouble is not the first time Binance has encountered in Canada, and over the past few years, Canada has been facing a tough battle with provincial regulatory authorities.
The lawsuit seeks damages and revocation of these transactions. It also alleges that Binance's operations failed to comply with the necessary registration and prospectus requirements under securities regulations. The court stated in its ruling: "The plaintiff alleges that these sales are illegal and invalid due to lack of required registration."
During the certification of the class action, the court acknowledged that under current regulations, cryptocurrency contracts are considered securities or derivatives, and the marketing of these contracts qualifies for distribution. The judgment stated: "The plaintiff has assumed the burden of proof...establishing some factual basis that the issues raised in the four liability questions are common."
Earlier, the Ontario Superior Court found that Binance operates its platform and is open to Canadian users. In a regulatory review by the Ontario Securities Commission (OSC), Binance promised to cease trading with Canadian investors in mid-2021 and began gradually winding down its operations in Ontario in early 2022. In the weeks leading up to Binance's departure, the exchange reneged on its promise, claiming that its authorization as a money service business allowed it to continue operating in the province.
The industry giant appears to have chosen to exit Ontario rather than comply with securities laws or face regulatory scrutiny. The OSC is investigating potential regulatory violations by Binance, but no formal charges have been filed yet.
The Ontario court also responded to Binance's argument that it only facilitates trades between investors and is not a direct party. The court rejected this claim, stating that "the only contract found in the record is between the members of the class and Binance itself," likening this relationship to that of a customer and a store, not between independent parties.
The court's ruling paves the way for the assessment of damages, interest, and costs for the entire class, making all investors who have purchased cryptocurrency derivative contracts from Binance since September 13, 2019 eligible to participate in the class action.
